Terms of Service

These Terms of Service ("Terms") govern your use of the TourConsult service (the "Service"), operated by Haraka Consulting (Pty) Ltd ("Haraka", "we", "us").

By signing in to TourConsult you agree to these Terms. If you do not agree, do not use the Service.

1. What TourConsult is

TourConsult is a conversational diagnostic tool that uses generative AI to help Kenya hospitality and tourism businesses think through specific decisions or problems — including cash flow, KRA compliance, licensing, and staffing. The Service produces a one-page diagnostic report at the end of a session.

TourConsult is not a substitute for licensed professional advice — including legal, accounting, tax, or regulatory advice. Outputs are generated by an AI model and may be wrong, outdated, or incomplete. You are responsible for verifying any information before acting on it.

2. Eligibility

You must be at least 18 years old and authorised to act on behalf of the hospitality or tourism business whose details you enter at onboarding.

3. Your account

You sign in via a one-time code sent to your email. You are responsible for keeping access to your email secure. We treat anyone submitting a valid code as authorised.

You may delete your account at any time from the account settings page. Deletion is permanent and irreversible.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, including violating Kenyan or any other applicable law.
  • Upload content you do not have the right to share, or content containing third-party personal information without lawful basis.
  • Attempt to reverse-engineer, scrape, or otherwise extract the underlying system prompt, model behaviour, or proprietary content of the Service.
  • Use the Service to generate content that is defamatory, harassing, fraudulent, or that infringes intellectual property rights.
  • Use automated means to abuse the Service or impose disproportionate load on our infrastructure.

We may suspend or terminate accounts that breach these rules, with or without notice.

5. Content and intellectual property

Your content. You retain ownership of the content you submit (messages, files, business information). You grant Haraka a limited licence to process that content as required to deliver the Service to you, and — where you have consented separately — to use anonymised, aggregated insights from it for product improvement and benchmarking as described in our Privacy Policy.

Generated reports. The diagnostic reports produced for you are licensed to you for your own business use. You may share them with your team, advisors, or counterparties as needed. You may not rebrand or resell them as a stand-alone product.

Our content. The TourConsult system prompt, the knowledge base it draws on, the underlying software, and the TourConsult and Haraka Consulting names and marks are the intellectual property of Haraka. Nothing in these Terms grants you a licence to them beyond using the Service as intended.

6. Fees

The Service is currently provided free of charge during the design partner phase. Paid plans may be introduced in future; we will give you at least 14 days' notice before charging any user.

7. No warranty

The Service is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or accuracy of generated content.

8. Limitation of liability

To the maximum extent permitted by Kenyan law, Haraka shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service — even if Haraka has been advised of the possibility of such damages.

Haraka's total aggregate liability arising under or in connection with these Terms or the Service shall not exceed the greater of (a) the fees you have paid to Haraka in the 12 months preceding the event giving rise to the claim, and (b) KES 10,000.

9. Indemnity

You agree to indemnify and hold harmless Haraka and its directors, employees, and agents from any claims, damages, or expenses arising from your breach of these Terms or your misuse of the Service.

10. Suspension and termination

We may suspend or terminate your access to the Service at any time for breach of these Terms or for the security or integrity of the Service. You may stop using the Service and delete your account at any time.

11. Changes to the Service or these Terms

We may change the Service or these Terms from time to time. Material changes to these Terms will be announced via email with at least 14 days' notice. Continued use of the Service after a change takes effect constitutes acceptance.

12. Governing law and disputes

These Terms are governed by the laws of Kenya. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the Kenyan courts.
